1. Definitions and Interpretation

In these Terms: 'Platform' means the Muqawil HUB website and all related services; 'User' means any registered business entity using the Platform; 'Contractor' means a User who posts projects seeking bids; 'Supplier' means a User who offers products; 'Service Provider' means a User who offers services; 'Deal' means a completed transaction between Users; 'Commission' means the percentage fee payable to Muqawil HUB upon Deal completion; 'Subscription Fee' means the periodic fee for Platform access; 'SAR' means Saudi Arabian Riyals; 'VAT' means Value Added Tax as defined by ZATCA regulations.

2. Acceptance of Terms and Legal Capacity

By registering for or using Muqawil HUB, you represent and warrant that: (a) you have the legal authority to bind your business entity to these Terms; (b) you have read and understood these Terms in full; (c) you accept these Terms on behalf of your business entity; (d) your use of the Platform will comply with all applicable laws of the Kingdom of Saudi Arabia, including but not limited to the E-Commerce Law (Royal Decree No. M/126), the Commercial Register Law, VAT regulations, and Anti-Money Laundering regulations. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Muqawil HUB.

3. Eligibility Requirements

To use Muqawil HUB, you must satisfy ALL of the following requirements: (a) be a legally registered business entity in the Kingdom of Saudi Arabia with a valid Commercial Registration (السجل التجاري); (b) possess a valid VAT Registration Certificate issued by ZATCA; (c) have an authorized representative who is at least 18 years of age and legally competent to enter into contracts; (d) not be subject to any legal prohibition, bankruptcy proceedings, or sanctions that would prevent you from conducting business; (e) provide accurate, complete, and current information during registration and maintain its accuracy throughout your use of the Platform. Muqawil HUB reserves the right to verify your eligibility at any time and to suspend or terminate accounts that fail to meet these requirements.

4. User Accounts and Security

  • You are solely responsible for maintaining the confidentiality and security of your account credentials, including passwords and access tokens.
  • You must provide accurate, current, and complete registration information and update it promptly if any changes occur.
  • You must notify Muqawil HUB immediately upon discovering any unauthorized access to your account or any security breach.
  • You are fully responsible and liable for all activities conducted under your account, whether or not authorized by you.
  • You may not share, transfer, or assign your account to any third party without prior written consent from Muqawil HUB.
  • Muqawil HUB reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to the Platform or other Users.
  • Multiple accounts for the same business entity are prohibited unless expressly authorized in writing.

5. Subscription Fees and Payment Terms

  • Access to Muqawil HUB requires a paid subscription, except for limited trial periods as may be offered at our discretion.
  • Subscription fees are charged in advance based on your selected billing cycle (monthly, quarterly, or annually) and subscription tier (Pro, Business, or Enterprise).
  • All fees are denominated in Saudi Arabian Riyals (SAR) and are inclusive of 15% Value Added Tax (VAT) as required by ZATCA.
  • Payment is due immediately upon subscription activation or renewal. Failure to pay may result in immediate suspension of access.
  • SUBSCRIPTION FEES ARE STRICTLY NON-REFUNDABLE. By subscribing, you acknowledge and agree that all subscription payments are final and non-refundable, regardless of whether you use the Platform, cancel early, or have your account suspended or terminated for any reason.
  • Muqawil HUB reserves the right to modify subscription prices with thirty (30) days' prior written notice. Continued use after price changes constitutes acceptance.
  • Promotional pricing, discounts, or trial periods are subject to additional terms and may be modified or discontinued at any time.

6. Commission Structure and Payment Obligations

  • A success-based commission is payable to Muqawil HUB upon completion of any Deal facilitated through the Platform.
  • Commission rates vary by subscription tier: Trial (3%), Pro (1%), Business (0%), Enterprise (0%).
  • Commissions are calculated on the total Deal value and are due within thirty (30) days of Deal completion.
  • COMMISSIONS ARE STRICTLY NON-REFUNDABLE. Once a Deal is marked as completed, the commission becomes immediately due and payable regardless of any subsequent disputes, cancellations, or reversals between the parties.
  • All commissions are subject to 15% VAT, which will be added to the commission amount.
  • Failure to pay commissions within the specified period may result in: account suspension, late payment penalties at 2% per month, legal action to recover amounts owed, and reporting to credit agencies.
  • Any attempt to circumvent commission payments by conducting transactions outside the Platform after initial contact through Muqawil HUB constitutes a material breach of these Terms and may result in immediate termination and legal action.

7. No Refund Policy

BY USING MUQAWIL HUB, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT: (a) All subscription fees paid are final and non-refundable under any circumstances; (b) All commissions paid or payable are final and non-refundable under any circumstances; (c) This no-refund policy applies even if your account is suspended or terminated, whether by you or by Muqawil HUB; (d) This no-refund policy applies regardless of the reason for cancellation or non-use of services; (e) No partial refunds, pro-rata refunds, or credits will be issued for any unused portion of a subscription period; (f) This policy is a material term of this agreement, and you waive any right to claim refunds, chargebacks, or payment reversals. This policy is consistent with Article 10 of the Saudi E-Commerce Law and represents a clear disclosure of our refund terms prior to your subscription.

8. User-Generated Content and Intellectual Property

  • You retain ownership of all content, data, and materials you submit to the Platform ('User Content').
  • By posting User Content, you grant Muqawil HUB a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content for the purpose of operating and promoting the Platform.
  • You represent and warrant that you own or have the necessary rights to all User Content and that it does not infringe any third-party intellectual property rights, privacy rights, or other legal rights.
  • You are solely responsible for the accuracy, legality, and appropriateness of all User Content you submit.
  • Muqawil HUB reserves the right to remove, modify, or refuse to post any User Content that violates these Terms or applicable law, without prior notice.
  • You agree not to post content that is false, misleading, defamatory, obscene, threatening, or otherwise objectionable.
  • Violation of intellectual property rights may result in immediate account termination and legal action.

9. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Using the Platform for any unlawful purpose or in violation of any applicable Saudi Arabian laws or regulations.
  • Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity.
  • Posting false, inaccurate, or misleading information about projects, products, services, or your business capabilities.
  • Attempting to circumvent, avoid, or evade commission payments through off-platform transactions or any other means.
  • Interfering with, disrupting, or attempting to gain unauthorized access to the Platform, servers, or networks.
  • Using automated systems, bots, scrapers, or similar technology to access or collect data from the Platform.
  • Engaging in price manipulation, bid rigging, or any form of anti-competitive behavior.
  • Harassing, threatening, or abusing other Users or Muqawil HUB personnel.
  • Money laundering, terrorist financing, or any activity that violates anti-money laundering regulations.
  • Violating any applicable sanctions or export control regulations.

10. Document Verification and Compliance

All Users must submit valid documentation for verification, including but not limited to: VAT Registration Certificate, Commercial Registration (السجل التجاري), and National ID or Iqama of the authorized representative. Muqawil HUB reserves the right to: request additional documentation at any time; verify information with relevant government authorities; reject applications that do not meet verification standards; revoke verified status if documents expire, are found to be fraudulent, or if the User violates these Terms. Users must notify Muqawil HUB within fourteen (14) days of any changes to their registration status, VAT registration, or other verified information. Failure to maintain valid documentation may result in account suspension.

11. Platform Role and Disclaimer

Muqawil HUB operates solely as an electronic marketplace connecting businesses. WE DO NOT: participate in or guarantee any transaction between Users; verify the quality, safety, legality, or suitability of any products, services, or projects listed; guarantee the accuracy or truthfulness of any User Content or listings; guarantee the ability, willingness, or creditworthiness of any User to complete transactions; provide escrow, payment processing between Users, or transaction insurance. All transactions are conducted directly between Users at their own risk. Muqawil HUB is not a party to any contract formed between Users and bears no responsibility for the performance or non-performance of any such contracts.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY SAUDI ARABIAN LAW: (a) Muqawil HUB shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform; (b) Muqawil HUB shall not be liable for any loss of profits, revenue, data, or business opportunities; (c) Muqawil HUB shall not be liable for any disputes, claims, or damages arising from transactions between Users; (d) Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the claim; (e) These limitations apply regardless of the legal theory on which the claim is based, whether contract, tort, negligence, strict liability, or otherwise.

13. Indemnification

You agree to indemnify, defend, and hold harmless Muqawil HUB, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your User Content; (e) any transaction or dispute with another User; (f) your infringement of any third-party rights. This indemnification obligation shall survive termination of these Terms and your use of the Platform.

14. Termination

Muqawil HUB may suspend or terminate your account immediately and without prior notice for: violation of these Terms; fraudulent or illegal activity; non-payment of fees or commissions; providing false or misleading information; any conduct that may harm Muqawil HUB or other Users. You may cancel your subscription at any time through your account settings. Upon termination: (a) all subscription fees paid remain non-refundable; (b) any outstanding commissions become immediately due and payable; (c) your right to access the Platform ceases immediately; (d) provisions of these Terms that by their nature should survive termination shall continue in full force and effect.

15. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved as follows: (a) The parties shall first attempt to resolve the dispute through good-faith negotiations for a period of thirty (30) days; (b) If negotiations fail, the dispute shall be referred to arbitration administered by the Saudi Center for Commercial Arbitration (SCCA) in Riyadh, Saudi Arabia; (c) The arbitration shall be conducted in Arabic, with English translation available upon request; (d) The arbitral award shall be final and binding on both parties; (e) You waive any right to participate in class action lawsuits or class-wide arbitration. The courts of Riyadh, Saudi Arabia shall have exclusive jurisdiction over any matters not subject to arbitration.

16. Force Majeure

Muqawil HUB shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, pandemics, power failures, telecommunications failures, or any other force majeure event. In such circumstances, Muqawil HUB's obligations shall be suspended for the duration of the force majeure event.

17. Amendments to Terms

Muqawil HUB reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Material changes will be notified to Users via email or Platform notification at least thirty (30) days before taking effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and cancel your subscription. It is your responsibility to review these Terms periodically.

18. Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and any failure to assert a right or provision shall not constitute a waiver of such right or provision.

19. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Muqawil HUB regarding your use of the Platform and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written. No representation, warranty, or undertaking not expressly set forth in these Terms shall be binding on either party.
